1. Agreement Overview

This End User License Agreement is a legal contract between Motohaus Powersports Limited and the business or organisation that uses the Balance Transfer software. The Application is an automated tool designed to synchronise and update balance amounts between QuickBooks and Shopify on your behalf. By using the Application, you agree to the terms of this Agreement.

2. License Grant

Subject to the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable, and revocable license to use the Application solely for the purpose of automating the synchronisation of balance amounts between Your QuickBooks and Shopify accounts.

3. Restrictions

You may not:

• Modify, distribute, or create derivative works based on the Application.
• Reverse engineer, decompile, or disassemble the Application.
• Use the Application in any manner that could harm, disrupt, or otherwise negatively impact Our systems or the systems of others.
• Transfer, sublicense, or lease the Application to any third party.

4. Data Processing and Responsibilities

You acknowledge that the Application operates automatically to update financial information between Your QuickBooks and Shopify accounts based on the configurations you set. You are solely responsible for ensuring the accuracy of the data processed by the Application and for any actions taken as a result of the data updates.

5. Ownership

The Application and all associated intellectual property rights are owned by Motohaus Powersports Limited. This Agreement does not grant you any ownership rights in the Application.

6. Termination

This Agreement is effective until terminated. Motohaus Powersports Limited may terminate this Agreement at any time if you breach any term of this Agreement or if we decide to discontinue the Application. Upon termination, your access to the Application will cease.

7. Disclaimer of Warranties

The Application is provided "AS IS" without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Motohaus Powersports Limited does not guarantee that the Application will be error-free or operate without interruption.

8. Limitation of Liability

In no event shall Motohaus Powersports Limited be liable for any indirect, incidental, special, or consequential damages arising out of or related to the use or inability to use the Application, even if Motohaus Powersports Limited has been advised of the possibility of such damages.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

10. Entire Agreement

This Agreement constitutes the entire agreement between you and Motohaus Powersports Limited regarding the use of the Application and supersedes all prior agreements and understandings.
